*Terms of service*

# What are the terms for using SopWow?

> **Quick answer:** SopWow is a business service. You pay for finished SOPs, and a SOP is finished when someone in your organization approves it. Your first 3 SOPs are free with no card. You own the recordings, answers, and SOPs you create, and you are responsible for reviewing what the AI writes and for having the right to record the systems and data you use. We provide the Service as is, with limited liability.

These Terms of Service ("Terms") are an agreement between Uncovered Inc., 5900 Balcones Dr STE 100, Austin, TX 78731, which operates SopWow, an Uncovered product ("SopWow", "we", "us"), and the organization or person who creates a SopWow account ("you"). They cover the website at sopwow.com, the customer portal, the SopWow recorder browser extension, and the SOP writing service (together, the "Service").

By creating an account or using the Service, you agree to these Terms. If you accept them for an organization, you confirm that you have authority to bind it.

## Who can use SopWow?

SopWow is for business use. You must be at least 18 and able to form a binding contract. You are responsible for:

- the people you invite to your workspace, and their compliance with these Terms
- keeping sign-in emails and recorder tokens secure
- telling us promptly at hello@sopwow.com if you suspect unauthorized access

## What does the Service include?

The Service lets a person record a task in a browser tab, then uses AI to draft a standard operating procedure ("SOP"), ask follow-up questions, and present the draft for human review. Approved SOPs can be exported in the formats listed on the [pricing page](https://sopwow.com/pricing).

SopWow is model-agnostic. By default, the Service drafts SOPs with an AI model that we manage. You may instead connect an AI model provider you choose, using your own API key. If you do, the redacted text needed to draft your SOPs is sent to that provider, your use of it is governed by your agreement with that provider, you are responsible for its fees, and that provider is not our subcontractor.

We may improve, change, or retire features over time. If we remove a feature that is central to a paid plan, we will tell you in advance, and you may cancel.

## How do the trial, plans, and billing work?

- **Trial.** Your first 3 SOPs are free and require no card. The trial ends when the third SOP is approved. It does not convert to a paid plan unless you choose one.
- **Plans.** Paid plans are billed monthly in advance and include a monthly allowance of finished SOPs. SOPs beyond the allowance are billed at your plan's per-SOP rate. Plan prices, allowances, and rates are listed on the pricing page and are launch pricing.
- **What counts.** A SOP counts toward your allowance only when someone in your organization approves it in the Service. Drafts, rejected drafts, re-recordings, and edits before approval do not count.
- **Unused allowance** does not roll over to the next month.
- **Storage.** Each plan can store a set number of SOPs: 50 on Starter, 250 on Team, and unlimited on Business. We warn you when you reach 80% of your cap. If you go over it, new SOPs cannot be saved until you delete some, add storage, or upgrade. Going over never deletes or hides SOPs you already have. Storage add-ons are available on Starter and Team.
- **Taxes.** Prices exclude taxes. You are responsible for applicable taxes, other than taxes on our income.
- **Price changes.** We will give at least 30 days' notice by email before a price change affects your plan. The change applies from your next billing period.
- **Payment.** Payments are processed by our payment processor under its terms. If a payment fails, we may suspend paid features after notice until it is resolved.
- **Cancellation.** You can cancel at any time. Cancellation takes effect at the end of the current billing period, and you keep access until then. After that, your SOPs are kept as described in "How long do we keep your SOPs?" below. Fees already paid are not refunded, except where the law requires otherwise.

## How long do we keep your SOPs?

- **Free trial accounts.** SOPs are kept for 60 days from signup. After that they are deleted unless you have downloaded or exported them, or upgraded to a paid plan. We warn you on days 23, 46, 57, and 59. You can export any SOP as a PDF at any point during the 60 days.
- **Paid plans.** SOPs are kept for as long as your subscription is active.
- **After you cancel a paid plan.** You keep full access until the end of the billing period you paid for. Your SOPs then stay available read-only, with export, for 90 days. After that they are deleted.

Deletion covers the live Service. Copies in backups expire on their normal schedule, and we keep anything the law requires us to keep.

## Who owns the content you create?

In this section, "Customer Content" (also "Your Content") means the task descriptions, recordings, screenshots, answers, prompts, drafts, SOPs, outputs, and exports created in your workspace. "Services" means the Service. "De-identified Data" means data derived as described below so that it does not identify you or reveal your specific procedures.

**Your Content; Product Improvement.** As between you and Uncovered Inc. (SopWow), you retain all rights in your Customer Content, including your SOPs, recordings, screenshots, and customer-specific procedures, and we assign to you any rights we acquire in customer-specific outputs, excluding our preexisting technology and third-party materials. You grant us a limited, non-exclusive license to process Customer Content solely to provide, maintain, support, and secure the Services, ending on termination except as needed to complete deletion, satisfy legal retention, or provide an export you request. We do not use Customer Content itself, including SOP text, screenshots, recordings, prompts, or outputs, as training input for models, and we do not disclose or reuse your SOPs or customer-specific procedures for other customers. We may collect content-free usage signals and derive De-identified Data by generalizing and combining information across multiple customers so it does not identify you or reveal your specific procedures, and use that De-identified Data during and after the term to operate, secure, and improve the Services, including training models and creating general SOP templates. We will not attempt to re-identify De-identified Data. Enterprise customers may opt out of the derivation of De-identified Data from Customer Content for model training by contacting privacy@sopwow.com.

We own the Service itself: the software, the recorder, the website, and our trademarks. These Terms do not give you any rights to them except the right to use the Service while your account is in good standing.

## What are you responsible for when you record?

Before recording a workflow, you are responsible for making sure that:

- **You have the right to access and record** the systems, pages, and data involved, including under your agreements with the owners of those systems.
- **Your people have been told** what the recorder captures. Where the law requires it, you have obtained their consent. SopWow is a documentation tool and must not be used to covertly monitor anyone.
- **Regulated data stays out unless we agree otherwise.** You will not record workflows that display protected health information, or other data that requires a specific contractual safeguard from us, unless we have agreed to it in writing. We do not currently sign business associate agreements.
- **Your data is handled lawfully.** Your use of the Service complies with the laws that apply to you and your data.

## What is not allowed?

You may not:

- use the Service to break the law or to violate anyone's privacy or rights
- record systems you are not authorized to access
- try to get around redaction, usage metering, or plan limits
- probe, scan, or test the Service's security without our written permission
- reverse engineer the Service, except where the law allows it
- resell the Service or offer it to third parties without a written agreement, such as a wholesale partner agreement
- upload malware or interfere with the Service or other customers
- use the Service or its output to build a competing product

## What should you know about AI-written drafts?

SopWow uses AI to write drafts. AI can be wrong. It can misread a step, misstate a reason, or suggest a rule that does not exist. The Service marks content the AI added beyond what it observed, and it requires a person to approve every SOP. **You are responsible for reviewing and approving your SOPs and for how they are used.**

SopWow does not provide legal, compliance, insurance, medical, accounting, tax, or other professional advice. An approved SOP describes how your team does a task. It does not certify that the task complies with any law, regulation, carrier or payer rule, or standard.

## What should you know about redaction?

The recorder does not capture values typed into fields. It also redacts data with a recognizable shape before text leaves your browser. Redaction is pattern based and can miss data. A human review, including a redaction check, is part of approval for this reason. We do not guarantee that all personal or confidential data will be detected.

## How do third-party systems fit in?

SopWow records work that happens inside other companies' browser-based systems. We are not affiliated with those companies, and SopWow does not integrate with their systems. Your use of those systems is governed by your agreements with their owners.

## How is personal data handled?

Our [privacy policy](https://sopwow.com/privacy) explains how we handle personal data. If you need a data processing agreement, email hello@sopwow.com.

Our [cookie policy](https://sopwow.com/cookies) explains the cookies and trackers on sopwow.com. Analytics and advertising trackers run only if you agree in the cookie banner, and you can withdraw that consent at any time through "Cookie preferences" at the bottom of any page. You can also opt out of the sale and sharing of your personal information on the [Do Not Sell or Share My Personal Information](https://sopwow.com/do-not-sell) page or with Global Privacy Control. None of these trackers run in the customer portal.

## When can either side end the agreement?

- **You** can stop using the Service and cancel at any time.
- **We** may suspend or end your access if you materially breach these Terms and do not fix the breach within 15 days of notice. We may act immediately for serious misuse, such as illegal activity or a security threat.
- **If we discontinue the Service**, we will give at least 60 days' notice.
- **After a paid subscription ends**, your SOPs stay available read-only, with export, for 90 days, and are then deleted, as described in "How long do we keep your SOPs?" above. Free trial SOPs follow the 60-day rule in that section.

## What warranties do we give?

We will provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service is provided **"as is" and "as available."** We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error free, or that AI output will be accurate or complete.

## How is liability limited?

To the extent the law allows:

- **No indirect damages.** Neither side is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if warned they might happen.
- **The cap.** Each side's total liability arising out of these Terms is limited to the amount you paid us in the 12 months before the event that gave rise to the claim. If you have only used the free trial, the cap is USD 100.
- **Exceptions.** These limits do not apply to your payment obligations, to either side's indemnity obligations, or to liability that cannot be limited by law.

## Who covers which claims?

You will defend and indemnify us against third-party claims arising from Your Content, from recording systems or data you were not authorized to record, or from your failure to give the notices or obtain the consents required by law.

We will defend and indemnify you against third-party claims that the Service, as we provide it, infringes their intellectual property rights.

## Which law applies, and how are disputes handled?

These Terms are governed by the laws of Texas, without regard to its conflict of laws rules. Disputes will be resolved in the state or federal courts located in Travis County, Texas, and both sides consent to that jurisdiction. Before filing a claim, each side agrees to try to resolve the dispute informally for 30 days by writing to the other.

## How will these Terms change?

We may update these Terms. If a change is material, we will email account holders at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms. If you do not agree, you may cancel before the change takes effect.

## What else should you know?

- **Entire agreement.** These Terms, the privacy policy, and any order form or written agreement you sign with us (such as a wholesale partner agreement) are the entire agreement. A signed agreement controls if it conflicts with these Terms.
- **Assignment.** You may not assign these Terms without our consent, except to a successor of your business. We may assign them to an affiliate or a successor to SopWow.
- **Feedback.** If you send suggestions, we may use them without obligation to you.
- **Force majeure.** Neither side is liable for delays caused by events beyond its reasonable control.
- **Severability and waiver.** If a provision is unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver of it.
- **Notices.** We send notices to the email address on your account. You send notices to hello@sopwow.com or by mail to Uncovered Inc., 5900 Balcones Dr STE 100, Austin, TX 78731.

Effective date: September 24, 2026.
